Nik's Computer Care Terms and Conditions

General Terms And Conditions For Services

Applicability

These terms and conditions for services (these "Terms") are the only terms that govern the provision of services by Nik's Computer Care (the "Service Provider") to its customers (each, a "Customer").

The accompanying order confirmation and or statement of work (the "Order Confirmation") and these Terms (collectively, this "Agreement") comprise the entire agreement between the parties, and supersede all prior or contemporaneous understandings, agreements, negotiations, representations and warranties, and communications, both written and oral. In the event of any conflict between these Terms and the Order Confirmation, shall govern, unless the Order Confirmation expressly states that the terms and conditions of the Order Confirmation shall control.

These Terms prevail over any of Customer's general terms and conditions regardless of whether or when Customer has submitted its request for proposal, order, or such terms. Provision of services to Customer does not constitute acceptance of any of Customer's terms and conditions and does not serve to modify or amend these Terms.

Services

Service Provider shall provide the services to Customer as described in the Order Confirmation (the "Services") in accordance with these Terms.

All service work and or labor performed by the Service Provider pursuant to the Order Confirmation is non-refundable.

Prior to commencing any work, the Service Provider and the Customer shall complete a joint inspection of the device. The inspection shall be documented and acknowledged by both parties via (a “Device Inspection Forum”).

A detailed quote shall be provided before any major or extensive work is performed. No such work shall commence unless and until the Customer has reviewed and approved the quote.

For all in-home services, an adult (18 years of age or older) must be present on the premises at all times during the provision of services. Services shall only be performed with the consent of the legal owner of the property or an authorized occupant.

For delivery and pickup services, The legal owner of the device must provide express consent for the transportation of the device. All devices shall be secured using appropriate equipment during transport. The Customer acknowledges that, due to variations in size and type, certain devices may not be compatible with standard protective equipment.

In such cases, the Service Provider shall not be liable for damage arising solely from the absence of standard protective equipment, provided reasonable care is exercised during transport.

The Company reserves the right to refuse, suspend, or cancel any service, acting reasonably and in accordance with applicable law.

Performance Dates

Service Provider shall use commercially reasonable efforts to meet any performance dates specified in the Order Confirmation, and any such dates shall be estimates only.

Customer Obligations

Customer Shall:

Cooperate with Service Provider in all matters relating to the Services and provide such access to Customer's premises, and such office accommodation and other facilities as may reasonably be requested by Service Provider, for the purposes of performing the Services;

Respond promptly to any Service Provider request to provide direction, information, approvals, authorizations, or decisions that are reasonably necessary for Service Provider to perform Services in accordance with the requirements of this Agreement;

Provide such Customer materials or information as Service Provider may reasonably request and to carry out the Services in a timely manner and ensure that such Customer materials or information are complete and accurate in all material respects; and

Obtain and maintain all necessary licenses and consents and comply with all applicable laws in relation to the Services before the date on which the Services are to start.

Customers Acts or Omissions

If Service Provider's performance of its obligations under this Agreement is prevented or delayed by any act or omission of Customer or its agents, subcontractors, consultants or employees, Service Provider shall not be deemed in breach of its obligations under this Agreement or otherwise liable for any costs, charges or losses sustained or incurred by Customer, in each case, to the extent arising directly or indirectly from such prevention or delay.

Change Orders

If either party wishes to change the scope or performance of the Services, it shall submit details of the requested change to the other party in writing. Service Provider shall, within a reasonable time after such request, provide a written estimate to Customer of:

The likely time required to implement the change;

Any necessary variations to the fees and other charges for the Services arising from the change;

The likely effect of the change on the Services; and

Any other impact the change might have on the performance of this Agreement.

Promptly after receipt of the written estimate, the parties shall negotiate and agree in writing on the terms of such change (a "Change Order"). Neither party shall be bound by any Change Order unless mutually agreed upon in writing in accordance with Section 26.

Notwithstanding Section 6(a) and Section 6(b), Service Provider may, from time to time, change the Services without the consent of Customer provided that such changes do not materially affect the nature or scope of the Services, or the fees or any performance dates set forth in the Order Confirmation.

Service Provider may charge for the time it spends assessing and documenting a change request from Customer on a time and materials basis in accordance with the Order Confirmation.

Fees and Expenses; Payment Terms; Interest on Late Payments; Outstanding Balances

 In consideration of the provision of the Services by Service Provider and the rights granted to Customer under this Agreement, Customer shall pay the fees set forth in the Order Confirmation.

Customer agrees to reimburse Service Provider for all reasonable travel and out-of-pocket expenses incurred by Service Provider in connection with the performance of the Services.

Customer shall pay all invoiced amounts due to Service Provider within five (5) days from the date of Service Provider's invoice. Customer shall make all payments hereunder in Canadian dollars by wire transfer, cheque or other payment method. Any amount not paid when due shall be considered (an “Outstanding Balance”).
In the event payments are not received by Service Provider within five (5) days after becoming due, Service Provider may:

charge interest on any such unpaid amounts at a rate of five percent (5%) per annum or, if lower, the maximum amount permitted under applicable law, from the date such payment was due until the date paid; and
suspend performance for all Services until payment has been made in full.

If an Outstanding Balance remains unpaid for fourteen (14) days following a written notice to the customer, the Service Provider may:

Suspend access to, or use of, the device; and

Refer the Outstanding Balance to a licensed collection agency.

Where an Outstanding Balance remains unpaid and is referred to collections, the customer agrees to pay reasonable administrative and collection costs incurred by the Service Provider, including a service charge not exceeding $10 per day, provided that such charges represent a reasonable estimate of the Company’s administrative and collection costs and are not intended as a penalty.

Title to the device shall remain with the Service Provider unless and until all amounts owing under this Agreement are paid in full.

Where the customer is in default for more than thirty (30) days following written notice, the Service Provider may, subject to applicable law, take reasonable steps to recover possession of the device.

Where the Service Provider lawfully recovers possession of a device, it may erase data stored on the device in the ordinary course of reconditioning or disposal, subject to applicable privacy laws.

Non-Refundable Payments

All payments made to the Service Provider are final and non-refundable. This includes, without limitation, all service work, labor, on-site and in-home service calls, delivery and pickup charges, hardware diagnostics, deposits, advance payments, and all hardware, accessories, and product purchases. No refunds, credits, exchanges, chargebacks, or set-offs will be provided, whether or not the customer proceeds with, cancels, or is dissatisfied with the work or product, and regardless of the diagnostic outcome. Approval of a quote and/or completion of a purchase constitutes the customer's acknowledgement and acceptance of this non-refundable policy. Nothing in this clause limits any rights the customer has that cannot be waived under applicable consumer protection law.

Discounts and Promotions

Any discounts, promotional pricing, special offers, or incentive programs offered by the Service Provider are subject to eligibility requirements and verification, where applicable. Discounts and promotions are non-transferable, have no cash value, and may not be combined with any other offer unless expressly stated otherwise by the Service Provider. The Service Provider reserves the right to refuse, revoke, modify, suspend, or discontinue any discount, promotion, or special offer at any time and for any reason, including where eligibility requirements are not met or inaccurate information has been provided. All determinations regarding eligibility for discounts and promotions shall be made by the Service Provider in its sole discretion and shall be final.

Taxes

Customer shall be responsible for all harmonized sales tax (HST), provincial sales tax (PST), goods and services tax (GST), value added tax, use and excise taxes, and any other similar taxes, duties, and charges of any kind imposed by any federal, provincial, territorial, or local governmental entity on any amounts payable by Customer hereunder.

Service Provider hereby grants Customer a license to use all Intellectual Property Rights free of additional charge and on a non-exclusive, worldwide, non-transferable, non-sublicensable, fully paid-up, royalty-free, and perpetual basis to the extent necessary to enable Customer to make reasonable use of the Deliverables and the Services.

The Service Provider shall not be liable for a breach of the warranty set forth in Section 11(a) unless Customer gives written notice of the defective Services, reasonably described, to Service Provider within seven (7) days of the time when Customer discovers or ought to have discovered that the Services were defective.

Subject to Section 11(b), Service Provider shall, in its sole discretion, either:

Re-perform such Services (or the defective part); or

Credit or refund the price of such Services at the pro rata contract rate.

DISCLAMER OF WARRANTIES

EXCEPT FOR THE WARRANTY SET FORTH IN SECTION 11(A) ABOVE, SERVICE PROVIDER MAKES NO WARRANTY WHATSOEVER WITH RESPECT TO THE SERVICES, INCLUDING ANY (A) WARRANTY OR CONDITION OF MERCHANTABILITY; OR (B) WARRANTY OR CONDITION OF FITNESS FOR A PARTICULAR PURPOSE; OR (C) WARRANTY OF TITLE; OR (D) WARRANTY AGAINST INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OF A THIRD PARTY; WHETHER EXPRESS OR IMPLIED BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE, OF TRADE OR OTHERWISE.

The limitation of liability set forth in Section 13(b) above shall not apply to (I) liability resulting from Service Provider's gross negligence or willful misconduct and (ii) death or bodily injury resulting from Service Provider's negligent acts or omissions.

Termination

In addition to any remedies that may be provided under this Agreement, Service Provider may terminate this Agreement with immediate effect upon written notice to Customer, if Customer:

Relationship of the Parties

The relationship between the parties is that of independent contractors. Nothing contained in this Agreement shall be construed as creating any agency, partnership, joint venture, or other form of joint enterprise, employment, or fiduciary relationship between the parties, and neither party shall have authority to contract for or bind the other party in any manner whatsoever.

Governing Law

All matters arising out of or relating to this Agreement are governed by and construed in accordance with the laws of the Miramichi of New Brunswick and the federal laws of Canada applicable therein without giving effect to any choice or conflict of law provision or rule (whether of the Miramichi of New Brunswick or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than those of the Miramichi of New Brunswick.

Choice of Forum

Any legal suit, action, litigation or proceeding arising out of or relating to this Agreement shall be instituted in the courts of the Miramichi of New Brunswick, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action, litigation, or proceeding.

Each Party shall deliver all notices, requests, consents, claims, demands, waivers and other communications under this Agreement (other than routine communications having no legal effect) (each, a "Notice") in writing and addressed to the parties at the addresses set forth in the Order Confirmation (or to such other address that may be designated by the receiving party from time to time in accordance with this Section).
